I would also point out the technical definition of a "quorum", from Webster's
New World Dictionary:
"the number (as a majority) of officers or members of a body that when duly
assembled is legally competent to transact business"
Having done computer research in this area (don't ask) - you want more than
50%. So if we have 12 board members, a quorum would be 7, hence a "majority".
Exactly half does not represent a majority and hence is not technically, by
definition, a quorum, and the lack of majority can technically cause problems.
So I would suggest one more than half the number of board members.
